Steve L. Waserstein focuses his practice on tax, corporate and real estate law. He utilizes his experiences from each area of the law to create and implement solutions and to close deals. Mr. Waserstein's clients are from around the world including the United States, Latin America, Europe and the Middle East. His practice includes representing individuals and businesses in the following:


  1. U.S. and International tax, estate, and wealth planning including pre-immigration and expatriation tax planning;
  2. U.S. tax compliance and civil and criminal tax investigations and controversies;
  3. Corporate mergers and acquisitions;
  4. Structuring U.S. investments by non-residents;
  5. Acquisition, financing, management and disposition of real estate including residential and commercial projects.
  6. Structuring cross-border acquisitions, joint ventures and other business combinations.
  7. In the creation, operation and termination of joint ventures and partnerships, the negotiation and preparation of shareholders agreements, operating or partnership agreements, buy sell agreements, management agreements and other contracts.

  • Represented clients with a net worth exceeding one billion dollars in numerous capacities.
  • Represented families from the US and outside the US, many from South and Central America, with a net worth ranging from $10 million to over $1 billion in wealth preservation, tax and estate planning, pre-immigration planning, and the formation and maintenance of complex trust structures.
  • Represented US citizens and residents living abroad with U.S. income tax compliance issues.
  • Represented individuals, entities, and estates being audited, examined, or investigated by the Internal Revenue Service civilly or criminally.
  • Represented non-resident aliens in the sale of a business for a purchase price in excess of $600 million.
  • Represented real estate developers and investors in the corporate structure, capital raising, acquisition, financing, and/or development of real estate projects with gross revenues ranging from $10 million to $200 million. Drafted and negotiated all of the agreements relating to such real estate deals.
  • Represented companies merging, acquiring, or being acquired by other companies with prices ranging from $3 million to over $600 million.
  • Settled complicated disputes in excess of $100 million.
  • Represented clients entering into partnerships or joint ventures with others seeking or investing capital.
  • Represented investors in the purchase of distressed debt and foreclosing or taking control of real estate from debtors.
  • Represented investors in hard money lending and mezzanine financing transactions.
